OF THE REPUBLIC OF UZBEKISTAN

 

  1. GENERAL PROVISIONS
  • The “Association of Clinical Neurophysiologists and Medical Geneticists of Uzbekistan” (hereinafter referred to as the Association) contributes to the development of clinical neurophysiology and medical genetics in the territory of the Republic of Uzbekistan by supporting research, innovative programs, and projects in these fields, thereby promoting the progress of our state.
  • The Association conducts its activities following the Constitution of the Republic of Uzbekistan, the laws “On Non-Governmental Non-Profit Organizations” and “On Public Associations in the Republic of Uzbekistan,” as well as other normative legal documents and this Charter.
  • The Association cooperates with the Ministry of Health of the Republic of Uzbekistan, relevant state and non-governmental organizations, medical associations, scientific centers, and international organizations.
  • The Association has the following official names:
  • In Cyrillic script: “Ўзбекистон клиник нейрофизиологлари ва тиббий генетиклари ассотсиацияси”;
  • In Latin script: “O‘zbekiston klinik neyrofiziologlari va tibbiy genetiklari assotsiatsiyasi”;
  • In Russian: “Ассоциация клинических нейрофизиологов и медицинских генетиков Узбекистана”;
  • In English: “Association of Clinical Neurophysiologists and Medical Geneticists of Uzbekistan”.
  • The Association is a public association and a non-governmental non-profit organization uniting legal entities, with its organizational and legal form determined in accordance with the legislation of the Republic of Uzbekistan.
  • The Association acquires the status of a legal entity from the moment it is registered with the state in the prescribed manner. The Association has an independent balance sheet, property, bank accounts in national and foreign currencies, an official seal and stamp bearing its name, and a symbolic emblem.
  • The activities of the Association are based on the principles of voluntariness, self- governance, legality, and transparency.
  • The Association has property and personal non-property rights, may enter into contracts, assume obligations, and participate as plaintiff or defendant in court.
  • The Association may establish representative offices and territorial branches within and outside the territory of the Republic of Uzbekistan in accordance with applicable
  • The Association is not liable for state obligations, and the state is not liable for the obligations of the Association.
  • The Association implements activities and programs aimed at developing clinical neurophysiology and medical genetics to world standards.
  • The Association may establish territorial branches in all regions of the Republic of Uzbekistan, which are registered with the Justice Authority in the prescribed manner and do not have the status of legal entities. Such branches operate in accordance with the

Association’s Charter and documents approved by the Conference.

  • The Association may voluntarily join associations, unions, and other organizations within Uzbekistan and internationally.

2.  PURPOSES AND OBJECTIVES OF THE ASSOCIATION

  • The main purpose of the Association’s activities is to develop the fields of clinical neurophysiology and medical genetics among the population of our country, improve diagnostic and treatment processes, as well as assist in training specialists and enhancing their scientific potential.
  • To achieve the set goals, the Association carries out the following tasks:
  • 2.1. Develop clinical neurophysiology and medical genetics in the Republic of Uzbekistan and enhance the prestige of these fields;
  • 2.2. Cooperate with state bodies, public associations, international and foreign governmental and non-governmental organizations to implement the goals defined in this Charter;
  • 2.3. Participate in the development and implementation of medical care standards in clinical neurophysiology and medical genetics;
  • 2.4. Participate in the establishment and improvement of existing clinical neurophysiology and medical genetics centers in the Republic of Uzbekistan;
  • 2.5. Organize specialized courses, seminars, and conferences to improve the qualifications of specialists and facilitate professional experience exchange;
  • 2.6. Participate in equipping medical institutions with modern medical equipment, technologies, medicines, and other necessary resources;
  • 2.7. Promote scientific research, conduct statistical, epidemiological, and other studies in the field;
  • 2.8. Support the training and retraining processes of medical personnel in clinical neurophysiology and medical genetics;
  • 2.9. Organize conferences, congresses, symposiums, seminars, round tables, and other events at the national and international levels, and submit relevant documents in accordance with the legislation of the Republic of Uzbekistan;
  • 2.10. Establish and continuously update the official website of the Association to disseminate news and research related to the field to the wider public;
  • 2.11. Develop and implement technical and ethical standards in clinical neurophysiology and medical genetics in accordance with international standards;
  • 2.12. Protect the rights of Association members and promote their interests before state and public organizations;
  • 2.13. Establish cooperation with international organizations and institutions, creating opportunities for international experience exchange for specialists;
  • 2.14. Attract grants, investments, and financial resources necessary for the development of the field;
  • 2.15. Participate in the development and improvement of legal and regulatory documents related to the field;
  • 2.16. Organize production and service activities consistent with the purposes and objectives of the Association;
  • 2.17. Increase professional literacy among the public and medical workers by distributing information and implementing educational projects;
  • 2.18. Provide medical assistance and qualified consultations to the population through charitable activities.
  • The Association may also perform other tasks not prohibited by the current legislation of the Republic of Uzbekistan and this Charter.

3.  RIGHTS AND OBLIGATIONS OF THE ASSOCIATION

3.1.  Rights of the Association:

  • Represent and protect the rights and lawful interests of its members and participants;
  • Develop cooperation among specialists in clinical neurophysiology and medical genetics and enhance the prestige of these fields;
  • Cooperate with state bodies, medical institutions, research institutes, public associations, and international organizations;
  • Develop education and scientific research in clinical neurophysiology and medical genetics in the Republic of Uzbekistan;
  • Improve standards in scientific research and medical diagnostics and introduce new innovative technologies;
  • Disseminate information about its activities through mass media, internet platforms, publications, and conferences;
  • Establish its own symbols, seal, and stamps in accordance with legislation;
  • Develop new standards in medical diagnostics, clinical research, and genetic analysis, and prepare proposals for their implementation;
  • Organize and conduct national and international conferences, symposiums, round tables, seminars, scientific meetings, trainings, and other events, and submit relevant documents following the legislation of the Republic of Uzbekistan;
  • Prepare legislative proposals related to clinical neurophysiology and medical genetics and submit them to the relevant state authorities;
  • Promote innovations in scientific research and medical diagnostics;
  • Develop programs for professional development and retraining of medical personnel in cooperation with government and public organizations;
  • Attract sponsorship and charitable funds;
  • Exercise other rights provided by legal acts;
  • Organize and conduct all activities and events not contrary to the legislation of the Republic of Uzbekistan;
  • Organize and conduct training events, workshops, and seminars aimed at improving

doctors’ professional skills;

  • Conduct certification processes for specialists within the Association and issue relevant documents confirming their qualifications;
  • Conduct training and certification in accordance with current legislation of the Republic of Uzbekistan and approved standards;
  • Cooperate with educational institutions and international organizations to develop educational programs and improve teaching standards.

3.2.  Obligations of the Association:

  • Comply with the current legislation of the Republic of Uzbekistan;
  • Manage financial resources transparently and maintain proper accounting;
  • Submit reports on its activities to registration authorities, tax, and statistical bodies as required by law;
  • Take appropriate measures to protect the rights and interests of its members;
  • Conduct and formalize research in clinical neurophysiology and medical genetics;
  • Organize educational and methodological activities, improve specialists’ qualifications, and provide participants with relevant documents by the legislation of the Republic of Uzbekistan;
  • Develop cooperation with state and non-governmental organizations in line with the

Association’s objectives;

  • Protect specialists in clinical neurophysiology and medical genetics and ensure their rights;
  • Fulfill other obligations stipulated by legal

4.  CONDITIONS AND PROCEDURE FOR MEMBERSHIP AND TERMINATION OF MEMBERSHIP, RIGHTS AND OBLIGATIONS OF MEMBERS

4.1.  Conditions and Procedure for Membership

  • Membership in the Association is voluntary and open to individuals aged 18 and over who accept this Charter (citizens of the Republic of Uzbekistan, foreign citizens, and stateless persons), as well as collective members (legal entities).
  • Admission to membership is carried out by the Association’s Board based on a written application and payment of the membership fee.
  • The issue of collective membership is considered and approved or rejected at the next meeting of the Association’s Board.

4.2.  Conditions for Withdrawal and Termination of Membership

  • Members have the right to voluntarily withdraw from the Association by submitting a written application to the Association’s Board. From the date of acceptance of the application, the person loses membership rights.
  • The Association’s Board has the right to suspend or terminate membership in the following cases:
  • Violation of the Association’s Charter;
  • Committing legal violations causing material or moral damage to the Association (such as slander, forgery of documents, corruption, dissemination of false information);
  • Non-payment of membership fees for two years;

4.3.  Rights of Members

  • Members have the following rights:
  • To elect and be elected to the governing and supervisory bodies of the Association;
  • To participate in the development and implementation of the Association’s projects and programs;
  • To take part in discussions on the Association’s activities and submit proposals;
  • To participate in conferences, symposiums, round tables, scientific meetings, and other events organized by the Association;
  • To enjoy equal rights with all other members of the

4.4.  Obligations of Members

  • Members have the following obligations:
  • To comply with the Association’s Charter and internal regulations;
  • To implement decisions approved by the Association;
  • To actively participate in achieving the Association’s goals and objectives;
  • To refrain from actions that harm the Association’s activities;
  • To pay membership fees on

5.  TERRITORIAL BRANCHES OF THE ASSOCIATION

  • The Association operates within the territory of the Republic of Uzbekistan based on this Charter and has the right to establish territorial branches.
  • Territorial branches of the Association may be established in the Republic of Karakalpakstan, regions, and the city of These branches can be organized and registered as branches or representative offices in accordance with the legislation of the Republic of Uzbekistan.
  • Territorial branches are required to prepare annual reports on their activities and submit

them to the Association’s Board.

  • Territorial branches are established, reorganized, or liquidated by decision of the

Association’s Board. The property of territorial branches passes under the control of the Association’s Board.

  • The powers, rights, obligations, and property management of territorial branches are determined by their Charter.

6.  STRUCTURE AND GOVERNING BODIES OF THE ASSOCIATION

  • The governing bodies of the Association consist of:

  • The executive body – Board;
  • Head of the Association – Chairperson;
  • Control and Audit

6.2.  Supreme Governing Body – Conference

  • The Conference is the highest governing body of the Association and is held at least once every four years.
  • The agenda, date, and place of the Conference are determined by the Delegates are officially notified about the Conference at least 15 days in advance.
  • If necessary, an extraordinary Conference may be convened on the initiative of the Board or the Control and Audit Commission.

7.  BOARD

  • A meeting is considered valid if more than half of the Board members participate, and decisions made at the meeting are legally binding.
  • Board decisions are made by open

8.  POWERS OF THE BOARD

  • 1.4. Decide on the establishment, reorganization, and liquidation of territorial branches.
  • 1.5. Appoint, reappoint, or dismiss heads of territorial branches for a term of 4 years.
  • 1.6. Decide on admission and termination of membership in the Association.
  • 1.7. Review financial matters and approve the annual budget.
  • 1.8. Approve and amend the Association’s symbols, seal, and stamps.
  • 1.9. Review issues related to the Association’s territorial and international cooperation and adopt relevant decisions.

9.  CHAIRPERSON OF THE ASSOCIATION

  • The Chairperson of the Association is elected at the Conference held every 4

  • The Chairperson concludes civil-law contracts and opens bank accounts in local and foreign currencies at relevant banking institutions.

10.  SOURCES OF THE ASSOCIATION’S PROPERTY AND FUNDS

  • The Association’s property may include:

  • Equipment, inventory;
  • Funds (in national and foreign currencies);

11.  CONTROL AND AUDIT COMMISSION OF THE ASSOCIATION

12. LABOR RELATIONS

  • Labor relations of the Association’s employees are regulated in accordance with the labor legislation of the Republic of Uzbekistan and the internal labor regulations.
  • Labor relations, social security, and social insurance of the Association’s employees are carried out in accordance with the current labor laws of the Republic of Uzbekistan.
  • Persons engaged in labor activities at the Association work according to job descriptions and labor contracts.

13.  SCIENTIFIC PUBLICATION AND ACCREDITATION ACTIVITIES OF THE ASSOCIATION

  • The Association may engage in publishing scientific journals in its fields of

14.   MISCELLANEOUS

  • Disputes arising within the scope of the Association’s activities, if not settled by the procedures provided in this Charter or through negotiation by the governing bodies, shall be resolved in accordance with the current legislation of the Republic of Uzbekistan or through the courts.
  • The Association submits reports on its activities to the relevant state authorities, including the Ministry of Justice, State Tax Committee, and statistical agencies of the Republic of Uzbekistan.

15.   PROCEDURE FOR REORGANIZATION AND TERMINATION OF THE ASSOCIATION’S ACTIVITIES
